1. Promoter’s name and address
Xbridge Limited t/a Simply Business, a company registered in England and Wales with number 03967717 and registered address at Sixth Floor, 99 Gresham Street, London EC2V 7NG (“Simply Business”, “we”, “us” or “our”).

2. Application
2.1 These terms and conditions (the “Terms and Conditions”) apply to our Britain’s Best Small Business Name Competition, as advertised online on our website and social media pages (the “Competition”).
2.2 By entering the Competition, you (the “Participant”, “you” or “your”) confirm that you have read and understood these Terms and Conditions and agree to be bound by them, and that you meet the eligibility requirements at Clause 5.

3. Opening and Closing Dates
The Competition will open on 18 March 2024 (the “Opening Date”) and will close on 25 April 2024 at 23:59:59 (GMT) (the “Closing Date”).

4. Winners and the Prize
4.1. There will be one winner of the Competition (the “Winner”).
4.2. Subject to meeting the requirements of Clauses 5 and 6, the Winner will win a cash prize of £2,500 (the “Prize”). The Prize is non-exchangeable and non-transferable by you.

5. Eligibility and conditions of entry
5.1. You are eligible to enter the Competition if, at the time of submitting an entry to the Competition in accordance with this Clause 5 (the "Entry"), you meet the following requirements (which we may require you to evidence in order to verify your Entry):
a) you are aged 18 or over;
b) you are a sole trader or the business owner of an actively trading company or partnership registered in the United Kingdom (excluding Northern Ireland);
c) you hold a business bank account that is not used for personal expenditure; and
d) you are not a Simply Business employee or an immediate family member of a Simply Business employee
5.2. The Competition is free to enter. To enter the Competition, you must complete and submit the Competition entry form posted on our website with all required details between the Opening Date and the Closing Date (inclusive). You may only submit one Entry. 5.3. We reserve the right to exclude your Entry from the Competition if:
e) it does not comply with these Terms and Conditions;
f) it is submitted after the Closing Date;
g) it is incomplete or illegible;
h) it is submitted in bulk or in conjunction with other entries or parties;
i) it is submitted on behalf of an organisation or another individual (including by an agent);
j) the business name it relates to has been submitted in another Entry;
k) it is the result automatic computer generation; or
l) your conduct is otherwise contrary to the spirit or intention of the Competition.

6. Winner announcement
6.1. Entries will be judged on factors including, without limitation: a) creativity;
b) originality;
c) humour;
d) uniqueness; and
e) multiple meanings.
6.2. We shall select a shortlist of up to 10 Entries from all Entries which meet the requirements of these Terms and Conditions. We will contact Participants whose Entries have been shortlisted by email at the address provided in their Entry on or before 29 April 2024 to inform them of the shortlisting of their Entry, and to request an image of the Participant and their business.
6.3. The Winner will be selected by public vote from the shortlisted Entries. We will contact the Winner by email at the address provided in their Entry on or before 14 May 2024 to inform them of their win, and to ask them to confirm their UK (excluding Northern Ireland) business bank account details. Any Winner that does not have a business bank account must let us know as soon as practicable and make arrangements to open a business bank account. If a Winner does not confirm their bank account details by return email within one week of request, we may void their Entry and award the Prize to another Participant. 6.4. We will pay the Prize into the Winner’s bank account within 30 days of the Winner confirming their account details in accordance with Clause 6.2. 6.5. We are required by law to publish or make available information that indicates that a valid award took place. To meet our obligations, we shall send relevant details to individuals who request them by email at [email protected] or by letter at Marketing Team, Xbridge Limited, Sixth Floor, 99 Gresham Street, London EC2V 7NG (enclosing a self-addressed envelope) within one month of the Closing Date. If you do not want details of your Entry to be published or made available to others, please contact us as the email or postal address set out above. In all circumstances we may still provide details about any winning Entry to the Advertising Standards Authority directly on request. 6.6 In the event that you are the winner, you must accept and agree to be available during the week commencing 13 May 2024 for at least one filming/photography session for at least one promotional video or social media post that can be used and distributed at the discretion of Simply Business. By entering the Promotion and accepting these Terms and Conditions, you accept and agree to enter into an agreement with Simply Business that shall specify the requirements for these filming/photography sessions and associated marketing materials.

7. Intellectual property
You hold the rights of ownership in your Entry. You grant us a non-exclusive, worldwide, irrevocable licence to use, display, publish, transmit, copy, edit, alter, store, re-format and sub-licence your Entry and any accompanying materials for the purposes of making your Entry available on our website (www.simplybusiness.co.uk), in any other media and in connection with any publicity regarding the Competition.

8. Data privacy
8.1. We will collect the content and information you submit when you participate in this Competition in order to facilitate the Competition and to manage your Entry and the delivery of any Prize. See also Clause 6 above with regard to the announcement of the Winner.
8.2. If you opt in to receive marketing communications from us, we will also use your personal data for marketing purposes. Entrants may opt out of receiving additional marketing messages at any time.
8.3. We shall process any personal data in accordance with these Terms and Conditions and our Privacy Policy (as available at www.simplybusiness.co.uk/privacy-policy/).

9. General
9.1. Any decision made by us regarding the Competition will be final and binding.
9.2. We accept no responsibility or liability for any:
a) failure of a third party (including, without limitation, any financial providers used by us in fulfilment of the Prize) to fulfil its contractual obligations;
b) Entry not seen or taken into account by us for technical reasons (including any Entry which is lost, damaged or delayed as a result of a network, computer hardware or software failure or internet issue), noting that we will not accept proof of submission of your Entry as proof of receipt; or
c) communications from us which are not seen or delivered as a result of a network, computer hardware or software failure, as a result of an invalid e-mail or other address provided to us, or any ‘spam’ or ‘junk mail’ filter settings (or equivalent) on your email or social media account.
9.3. Simply Business, our agents and payment providers will not in any circumstances be responsible or liable to you for any loss, damage, personal injury or death resulting from this Competition or your acceptance of a Prize unless it is caused by the relevant party’s negligence or fraud.
9.4. The Competition is in no way sponsored, endorsed or administered by, or associated with any social media sites or third party providers used by us. By entering the Competition, you release these parties from any and all legal liability in connection with the Competition. These Parties shall be deemed third party beneficiaries of this clause and shall have the right to enforce it against you.
9.5. We reserve the right to cancel or suspend the Competition and/or modify the Terms and Conditions at any time.
9.6. These Terms and Conditions are governed by the laws of England and Wales and any disputes arising under them or in connection to the Competition shall be subject to the exclusive jurisdiction of the English Courts.
