Van security prize draw terms and conditions

1. Promoter’s name and address
Xbridge Limited t/a Simply Business, a company registered in England and Wales with number 03967717 and registered address at Sixth Floor, 99 Gresham Street, London EC2V 7NG (“Simply Business”, “we”, “us” or “our”).

2. Application
2.1. These terms and conditions (the “Terms and Conditions”) apply to our Stamp Out Tool Theft campaign competition(the “Competition”) as advertised online on our website and social media pages.
2.2. By entering the Competition, you (the “Participant”, “you” or “your”) confirm that you have read and understood these Terms and Conditions and agree to be bound by them, and that you meet the eligibility requirements at Clause 5.

3. Opening and Closing Dates
The Competition will open on 3 October 2022 (the “Opening Date”) and will close on 12 December 2022 at 23:59:59 (GMT) (the “Closing Date”).

4. Winners and the Prize
4.1. There will be ten winners of the Competition (the “Winners”).
4.2. Subject to Clauses 4.3, 5, and 6, the Winner will win £2,000 worth of van security products from one of the following brands: Van Vault, Armorgard, Master Lock, ARMD, Immobilise, Vanolarm and VanGuardian, to be installed by Mundy van security.
4.3. (the “Prize”). The Prize is non-exchangeable and non-transferable by you. We reserve the right to substitute the Prize with a prize of equal or greater value if the Prize is unavailable. The Prize requires installation and the total value of the Prize may vary depending on the brand of product selected at the time, and the installation location and process required. Simply Business shall use all commercially reasonable endeavours to ensure that the total value of the Prize is £2000.

5. Eligibility and conditions of entry
5.1. You are eligible to enter the Competition if, at the time of submitting an entry to the Competition in accordance with this Clause 5 (the "Entry"), you meet the following requirements (which we may require you to evidence in order to verify your Entry):
a) you are aged 18 or over;
b) you are a tradesperson trading as a sole trader or as an employee of an actively trading company or partnership registered in the United Kingdom (excluding Northern Ireland)];
c) you own a van]; and
d) you are not a Simply Business employee or an immediate family member of a Simply Business employee.
5.2. The Competition is free to enter. To enter the Competition, you must complete and submit the Competition entry form posted on our website/Facebook page with all required details and be the legal owner of the van you refer to in your Competition entry form between the Opening Date and the Closing Date (inclusive).
5.3. You may only submit one Entry.
5.4. We reserve the right to exclude your Entry from the Competition if:
e) it does not comply with these Terms and Conditions;
f) it is submitted after the Closing Date;
g) it is incomplete or illegible;
h) it is submitted in bulk or in conjunction with other entries or parties;
i) it is submitted on behalf of an organisation or another individual (including by an agent);
j) it is the result automatic computer generation; or
k) your conduct is otherwise contrary to the spirit or intention of the Competition.

6. Winner announcement
6.1. The Winner will be selected randomly using a computerised process from all valid entries submitted by the Closing Date.
6.2. We will contact the Winner by email at the address provided in their Entry on or before [January 2023] to inform them of their win, and to ask them to confirm that they are willing to travel to Mundy Van Security, based in Bishop's Itchington, Southam to have the van security of their choice fitted. An alternative prize may be offered if the winner can’t travel to the location. If a Winner does not confirm they can travel to the location by return email within one week of request, we may void their Entry and award the Prize to another Participant.
6.3. The prize must be redeemed within six months of notification of winning. The Winner will need to confirm they can travel to the Mundy Van Security in accordance with Clause 6.2 and must confirm in writing (by email) to Simply Business that they understand and accept the terms of Clause 4.3.
6.4. We are required by law to publish or make available information that indicates that a valid award took place. To meet our obligations, we shall send relevant details to individuals who request them by email at [email protected] or by letter at Marketing Team, Xbridge Limited, Sixth Floor, 99 Gresham Street, London EC2V 7NG (enclosing a self-addressed envelope) within one month of the Closing Date. If you do not want details of your Entry to be published or made available to others, please contact us as the email or postal address set out above. In all circumstances we may still provide details about any winning Entry to the Advertising Standards Authority directly on request.

7. Intellectual property
You hold the rights of ownership in your Entry. You grant us a non-exclusive, worldwide, irrevocable licence to use, display, publish, transmit, copy, edit, alter, store, re-format and sub-licence your Entry and any accompanying materials for the purposes of making your Entry available on our website (www.simplybusiness.co.uk), in any other media and in connection with any publicity regarding the Competition.

8. Data privacy
8.1. We (separately to any third party platforms or providers used for the purposes of the Competition) will collect the content and information you submit when you participate in this Competition in order to facilitate the Competition and to manage your Entry and the delivery of any Prize. See also Clause 6 above with regard to the announcement of the Winner.
8.2. If you opt in to receive marketing communications from us, we will also use your personal data for marketing purposes. Entrants may opt out of receiving additional marketing messages at any time.
8.3. We shall process any personal data in accordance with these Terms and Conditions and our Privacy Policy (as available at www.simplybusiness.co.uk/privacy-policy/).

9. General
9.1. Any decision made by us regarding the Competition will be final and binding.
9.2. We accept no responsibility or liability for any:
a) failure of a third party (including, without limitation, any financial providers used by us in fulfilment of the Prize) to fulfil its contractual obligations;
b) Entry not seen or taken into account by us for technical reasons (including any Entry which is lost, damaged or delayed as a result of a network, computer hardware or software failure or internet issue), noting that we will not accept proof of submission of your Entry as proof of receipt; or
c) communications from us which are not seen or delivered as a result of a network, computer hardware or software failure, as a result of an invalid e-mail or other address provided to us, or any ‘spam’ or ‘junk mail’ filter settings (or equivalent) on your email or social media account.
9.3. Simply Business, our agents and payment providers will not in any circumstances be responsible or liable to you for any loss, damage, personal injury or death resulting from this Competition or your acceptance of a Prize unless it is caused by the relevant party’s negligence or fraud.
9.4. The Competition is in no way sponsored, endorsed or administered by, or associated with any social media sites or third party providers used by us. By entering the Competition, you release these parties from any and all legal liability in connection with the Competition. These Parties shall be deemed third party beneficiaries of this clause and shall have the right to enforce it against you.
9.5. We reserve the right to cancel or suspend the Competition and/or modify the Terms and Conditions at any time.
9.6. These Terms and Conditions are governed by the laws of England and Wales and any disputes arising under them or in connection to the Competition shall be subject to the exclusive jurisdiction of the English Courts.
